Terms of Service

1. What LandStake is (and is not)

LandStake is an online marketplace that introduces landowners, licensed real estate agents, and builders/developers to one another for potential land transactions, including land-contribution joint ventures. LandStake connects parties only. All partnership agreements are negotiated independently between the parties with their own attorneys. LandStake is not a real estate broker, agent, dealer, or party to any transaction, and provides no legal, tax, or investment advice. We do not represent any party, take a commission on any transaction, hold funds, or provide brokerage, legal, tax, engineering, appraisal, or investment services.

2. Accounts & eligibility

You must be 18 or older and provide accurate information. Builder and agent accounts are subject to verification (license details, insurance attestation) and approval at our discretion. Verification confirms submitted details at review time only — it is not an endorsement, and all users must perform their own diligence on counterparties. You are responsible for activity under your account and for keeping credentials secure.

3. Listings & content

Listing information is provided by landowners and agents, not by LandStake. We moderate listings but do not verify acreage, zoning, boundaries, buildability, title, or any other attribute. You grant LandStake a non-exclusive license to display content you upload (listings, photos, documents) for marketplace operation and promotion. You represent that you have the right to list any property you post and that uploaded content is accurate and lawful. We may remove listings or content at our discretion.

4. Subscriptions, connections & payments

Builder subscriptions are billed via Stripe on the plan terms shown at checkout. Plan features (covered states, monthly connection allotments, alerts) are described on the pricing page and may evolve. Cancellations take effect at the end of the current billing period; fees already paid are non-refundable except where required by law. Land Insight Reports are one-time purchases delivered to your dashboard.

5. Land Insight Reports

The Land Insight Report is an informational market and development analysis compiled from public records, government map services, and published sources believed reliable as of the preparation date. It is not a certified appraisal, survey, Phase I environmental site assessment, geotechnical study, or legal opinion, and is not prepared by a licensed appraiser, engineer, or attorney. Code citations reflect published text at preparation time and may be amended. Verify all findings independently before making decisions. Reports are informational only and may contain estimates that require local verification.

6. Agent compensation terms

Compensation agreements are made directly between the builder or deal entity and the agent's brokerage. LandStake is not a party to, guarantor of, or broker for any compensation arrangement. Builders acknowledge displayed compensation terms before connecting; that acknowledgment is a courtesy record, not a contract drafted or enforced by LandStake.

7. Transactions happen off-platform

Any partnership, sale, joint venture, or other transaction arising from an introduction on LandStake is negotiated, documented, and executed entirely between the parties and their own attorneys and advisors. LandStake is not a party to, and bears no responsibility for, any such transaction, including its economics, documentation, performance, or outcome.

8. Prohibited conduct

No false or misleading listings; no listing property you lack authority to list; no harassment; no scraping or bulk extraction of marketplace data; no circumvention of contact gating; no use of the platform to offer securities or investment products; no unlawful discrimination in violation of fair housing or other applicable laws.

9. Disclaimers & limitation of liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDSTAKE AND ITS OWNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM TRANSACTIONS BETWEEN USERS, AND OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination, changes & governing law

We may suspend or terminate accounts that violate these terms. We may update these terms; continued use after notice constitutes acceptance. These terms are governed by the laws of the State of New York, and disputes shall be resolved in the state or federal courts located in New York. Contact: hello@landstake.io.
